Terms of Service

1. Acceptance and eligibility

These Terms of Service ("Terms") are an agreement between you and Hyperion Digital ("Datchit", "we", "us"), the operator of datchit.com. By creating an account or using the service you accept these Terms. You must be at least 18 years old and able to form a binding contract. Datchit is currently an invite-only beta; access may be granted, limited, or revoked at our discretion.

2. The service

Datchit is a Dutch-auction marketplace: a listing's price falls over time until a buyer stops the clock, which reserves the item at that moment's price. Datchit is a venue that connects buyers and sellers. Except where a listing says otherwise, we are not the seller of listed items, and we do not take ownership of them.

3. Accounts

You agree to provide accurate registration information, keep your credentials confidential, and accept responsibility for activity under your account. One account per person. Notify us at quadjetfan@gmail.com if you believe your account has been compromised.

4. Auctions are binding

Stopping the clock is a binding commitment to purchase the item at the displayed price. You must complete checkout within the reservation window shown; if you do not, the reservation expires and the auction resumes. Repeatedly abandoning reservations, or failing to complete payment after your payment method authorizes, may result in temporary purchase blocks or account action under our abuse limits.

5. Seller obligations

Sellers are responsible for their listings. By listing an item you represent that:

• you own the item or are authorized to sell it;
• the listing (title, description, photos, video) accurately describes it;
• the item is lawful to sell and not on the prohibited list below;
• you will ship or deliver promptly once an order is paid; and
• you will honor any return or refund terms you advertise — see the Refunds & Disputes policy.

6. Buyer obligations

Buyers agree to provide accurate shipping and payment details and to pay for purchases they commit to by stopping the clock. Payment disputes are handled under the Refunds & Disputes policy.

7. Prohibited items and conduct

You may not list or sell:

• illegal goods or services, or items requiring a license you do not hold;
• counterfeit or stolen goods, or items that infringe intellectual property;
• weapons, ammunition, explosives, or hazardous materials;
• drugs, drug paraphernalia, tobacco, vaping products, or prescription items;
• recalled products; and
• anything prohibited by our payment processors' acceptable-use policies.

You also may not use Datchit to defraud anyone, harass other users (including through listing Q&A), interfere with the auction mechanics, circumvent fees, scrape the service, or probe its security. We may remove listings, hide content, suspend, or ban accounts that violate this section.

8. Fees and payments

Datchit charges sellers a marketplace fee of 5% of the final sale price, deducted from seller proceeds. Prices are in US dollars. Payments are processed by Stripe and PayPal under their own terms; Datchit never stores your card or bank details. During the beta, Datchit collects the buyer's payment and remits seller proceeds manually; Datchit does not provide an escrow service.

9. Your content

You own the content you post (listings, photos, video, questions, answers). You grant Hyperion Digital a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as needed to operate and promote the service.

10. Beta status; disclaimer of warranties

Datchit is a beta service provided "AS IS" and "AS AVAILABLE". It may contain bugs, suffer downtime, or lose data. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the accuracy of listings or the conduct of buyers or sellers.

11. Limitation of liability

To the fullest extent permitted by law, Hyperion Digital will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for all claims relating to the service is limited to the greater of one hundred US dollars ($100) or the fees you paid to Datchit in the twelve months before the claim arose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You will indemnify and hold Hyperion Digital harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your listings, your use of the service, or your breach of these Terms.

13. Dispute resolution; arbitration

Any dispute arising out of these Terms or the service that we cannot resolve informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. You and Datchit each waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration agreement by emailing quadjetfan@gmail.com within 30 days of first accepting these Terms. These Terms are governed by the laws of New Hampshire, USA, without regard to conflict-of-law rules.

14. Termination, changes, and contact

You may stop using Datchit at any time; see the Privacy Policy for account deletion. We may suspend or terminate accounts that violate these Terms. We may update these Terms; material changes will be announced on the site, and continued use after a change means you accept the updated Terms. Contact: quadjetfan@gmail.com.
